BOH-A Bank of Hawaii Corporation ADRs of 4.375% Fixed Rate Non-Cumulative Preferred, Series A

We will pay dividends on the Series A Preferred Stock, if, when and as declared by our Board of Directors (or a duly authorized committee thereof), to the extent that we have lawfully available funds to pay dividends. If declared, dividends will accrue and be payable from the original issue date quarterly in arrears at a rate of 4.375% per annum, on February 1, May 1, August 1 and November 1 of each year, beginning on August 1, 2021. We may redeem the Series A Preferred Stock at our option, subject to regulatory approval (if then required), (1) in whole or in part, from time to time, on any dividend payment date on or after August 1, 2026 or (2) in whole but not in part, at any time within 90 days following a regulatory capital treatment event (as defined herein), in either case at a redemption price equal to $1,000 per share (equivalent to $25 per depositary share), plus any declared and unpaid dividends and, in the case of a redemption following a regulatory capital treatment event, the pro-rated portion of dividends, whether or not declared, for the dividend period in which such redemption occurs  This security was issued by Bank Of Hawaii Corp., whose common stock symbol is BOH.
