EFC-B Ellington Financial Inc. 6.250% Series B Fixed-Rate Reset Cumulative Preferred

Holders of the Series B Preferred Stock will be entitled to receive cumulative cash dividends based on the stated liquidation preference of $25.00 per share at a rate equal to (i) from and including the original issue date to, but excluding, January 30, 2027, 6.250% per annum (equivalent to $1.5625 per annum per share) and (ii) from and including January 30, 2027, during each Reset Period (as defined herein), the five-year treasury rate as of the most recent reset dividend determination date plus 4.99% per annum. Dividends will be payable quarterly in arrears on or about the 30th day of January, April, July and October of each year, when and as declared, beginning on January 30, 2022. On or after January 30, 2027, we may, at our option, subject to certain procedural requirements, redeem the Series B Preferred Stock, in whole or in part, at any time or from time to time, for cash at a redemption price equal to $25.00 per share of the Series B Preferred Stock, plus any accumulated and unpaid dividends thereon (whether or not authorized or declared) to, but excluding, the redemption date, without interest.  This security was issued by Ellington Financial , whose common stock symbol is EFC.
